Terms and Conditions

1. Acceptance of Terms

By accessing or using any Viziappz website, application, or service (collectively, the "Services"), you agree to be bound by these Terms and Conditions and to our Privacy Policy. If you do not agree to these terms, please do not use the Services.

2. Description of Services

Viziappz provides MOVIEWRITER, a suite of screenwriting applications sharing one login: tools for planning a story, writing and formatting a screenplay, analysing a draft, storyboarding it, and publishing it. Several of these applications use artificial intelligence ("AI") to generate readings, suggestions, reports and images from the material you give them — see section 8. Services may be updated, modified, or discontinued at any time without prior notice.

3. User Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these terms.

4. User Content

You retain ownership of any content you create, upload, or store using the Services ("User Content"). By using the Services, you grant Viziappz a limited, non-exclusive license to store and process your User Content solely for the purpose of providing the Services to you. Where you use an AI feature, that processing includes transmitting the relevant User Content to our AI gateway and to the third-party AI provider named for that feature, as described in the Privacy Policy.

• You are solely responsible for your User Content and its legality.
• You must not upload content that infringes on the intellectual property rights of others.
• We do not claim ownership of your User Content.
• Anything you choose to publish through the Publisher application is made available to anyone holding the share link, without a login, until you unpublish it.

5. Acceptable Use

When using the Services, you agree not to:

• Violate any applicable laws or regulations.
• Upload or transmit viruses, malware, or other harmful code.
• Attempt to gain unauthorized access to other accounts or systems.
• Use the Services to send spam, unsolicited messages, or bulk communications.
• Interfere with or disrupt the integrity or performance of the Services.
• Reverse-engineer, decompile, or disassemble any part of the Services.
• Use the AI features to generate content that is unlawful, or to generate images of real, identifiable people without their consent.
• Use the Services for any illegal or unauthorized purpose.

6. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, software, and design — are the property of Viziappz and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Services without express written permission.

7. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes what we collect, how AI features process your content, which third parties are involved, how long we keep data, and how to have it deleted. We will not sell your information to third parties.

8. Artificial Intelligence

• Which features. The Scriptwax, Coverage, ScriptLens, Character, Storyliner, Scriptplanner (coherence check) and ScriptFAQ (structure analytics) applications generate text with AI language models; the Storyboard application generates images with AI image models. Results produced this way are labelled as AI-generated within the applications and in the documents they export.
• Nature of the output. AI output is machine-generated, non-deterministic, and may be inaccurate, incomplete or inappropriate. It is offered as a reading of your material to inform your own judgement, not as fact, advice, or a substitute for your own work. You are responsible for reviewing anything you rely on or pass to others.
• Ownership. As between you and Viziappz, we claim no rights in AI output generated from your User Content. Whether and how you may own or use such output may also depend on the law of your jurisdiction and on the terms of the AI provider concerned.
• Providers and keys. AI calls are routed through our gateway to third-party providers (currently Anthropic, OpenAI and xAI). New accounts may use our provider keys for a limited free trial; after that you supply your own provider keys. When you use your own keys you are bound by that provider's terms and are responsible for the charges they make to you.
• No training. We do not use your User Content or AI output to train any model. Any retention or use of API inputs by a provider is governed by that provider's own terms, which are linked from the Privacy Policy.
• Transparency. A fuller description of how each application uses AI is published in our AI Transparency Statement, also available from the AI menu inside the applications.

9. Third-Party Services

The Services rely on third-party services to operate: the AI providers named above, PayPal for payments, and an email delivery service for transactional email. The Services may also contain links to other third-party websites. Viziappz is not responsible for the content, privacy policies, or practices of any third-party service, and your use of them is subject to their own terms.

10. Disclaimers

• The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
• We do not warrant that the Services will be uninterrupted, error-free, or secure.
• We do not warrant the accuracy or completeness of any information provided through the Services, including AI-generated output.

11. Limitation of Liability

To the fullest extent permitted by law, Viziappz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or business opportunities, arising out of or related to your use of the Services or your reliance on AI-generated output.

12. Indemnification

You agree to indemnify and hold harmless Viziappz, its owners, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services or violation of these terms.

13. Modifications to Terms

We reserve the right to update or modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to the Services, and the effective date above will be updated. Your continued use of the Services after any changes constitutes your acceptance of the revised terms.

14. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Any provisions of these terms that by their nature should survive termination shall remain in effect. You may delete your own account at any time from the Account page; the Privacy Policy explains what that removes.

15. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms or the Services shall be resolved through good-faith negotiation or, if necessary, through binding arbitration.
